Terms of Service

These Terms govern your use of the Owanbe Central platform. Please read them carefully before registering or using our services.

Introduction & Acceptance

Welcome to Owanbe Central. These Terms of Service ("Terms") govern your access to and use of Owanbe Central's website, mobile application, and related services (collectively, the "Platform") operated by Owanbe Central Ltd ("we", "us", or "our"), a company incorporated under the laws of the Federal Republic of Nigeria. By creating an account, accessing, or using the Platform in any way, you ("User") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Owanbe Central Ltd.


Eligibility & Account Registration

To use the Platform, you must meet the following eligibility requirements.

Age Requirement

You must be at least 18 years of age to create an account. By registering, you represent and warrant that you are at least 18 years old. We do not knowingly allow minors to use the Platform.

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

One Account Per User

You may only maintain one active account per individual or business entity. Creating duplicate or fraudulent accounts is prohibited and may result in immediate suspension.

Business Accounts

If you register on behalf of a business, you represent that you have the authority to bind that entity to these Terms. The business entity and the individual registering will be jointly responsible for all obligations under these Terms.


Platform Services

Owanbe Central is a celebration management platform connecting Couples, Vendors, and Planners. The nature of your access depends on your account role.

Couples

Couples may use the Platform to plan events, browse and hire vendors, manage guest lists, track budgets, and communicate with their planning team. The Platform is provided as a management tool; we do not guarantee the quality or availability of any third-party vendor services.

Vendors

Vendors may list their services, receive bookings, communicate with clients, and manage payments through the Platform. Vendors are independent contractors and not employees or agents of Owanbe Central. You are responsible for the accuracy of your listings and the quality of services you provide.

Planners

Professional planners may manage multiple client events, coordinate vendors, and use planning tools on behalf of their clients. You must have written authorisation from each client before managing their event data on the Platform.

Service Availability

We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted access. We may perform maintenance, upgrades, or experience technical issues that temporarily affect access. We will endeavour to give reasonable advance notice of planned downtime via https://www.owanbecentral.com or email.


Payments, Fees & Refunds

The Platform facilitates payments between Couples and Vendors. All financial transactions are subject to the following terms.

Currency & Pricing

Prices are displayed primarily in Nigerian Naira (₦). For international users, applicable currency conversions may apply depending on your payment method or financial institution. Exchange rate fluctuations are the user's responsibility.

Platform Fees

We charge service fees on transactions processed through the Platform. Current fee rates are disclosed at the time of booking and may be updated from time to time. Continued use of the Platform constitutes acceptance of revised fees.

Vendor Payouts

Vendor payouts are processed within the timelines stated on the Platform dashboard, subject to successful completion of the booked service and applicable holding periods. We reserve the right to withhold payouts pending investigation of disputes.

Refunds & Cancellations

Refund eligibility depends on the cancellation policy agreed upon between the Couple and Vendor at the time of booking. Platform service fees are generally non-refundable except where required by applicable law. Disputes between Couples and Vendors should be raised with our support team at support@owanbecentral.com.

Taxes

Users are responsible for understanding and complying with applicable tax obligations in their jurisdiction, including VAT, withholding tax, and income tax as applicable under Nigerian law or the laws of their home country.


User Content & Intellectual Property

Users may upload photos, videos, text, and other content ("User Content") to the Platform.

Your Content, Your Responsibility

You retain ownership of your User Content. By uploading content, you grant Owanbe Central a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your content solely for the purpose of operating and promoting the Platform.

Content Standards

User Content must not be defamatory, obscene, fraudulent, infringing of third-party rights, or violate any applicable law. We reserve the right to remove content that violates these standards without notice.

Our Intellectual Property

All Platform software, designs, trademarks, logos, and content created by Owanbe Central Ltd remain our exclusive property. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.


Prohibited Conduct

The following activities are strictly prohibited on the Platform:

Fraud & Misrepresentation

Creating fake vendor listings, impersonating other users, providing false reviews, manipulating ratings, or engaging in any form of fraud or deceptive practice.

Platform Abuse

Attempting to circumvent Platform fees by conducting transactions off-platform with contacts made through the Platform, scraping data, launching denial-of-service attacks, or introducing malicious code.

Harassment & Harmful Content

Harassing, threatening, or discriminating against other users based on ethnicity, religion, gender, disability, or any other protected characteristic under Nigerian law or international human rights standards.

Regulatory Violations

Using the Platform for money laundering, financing terrorism, or any activity prohibited under the Money Laundering (Prohibition) Act, the Terrorism (Prevention) Act, or any other applicable Nigerian or international law.


Termination

Either party may terminate the relationship governed by these Terms at any time.

Termination by You

You may close your account at any time through your account settings or by contacting us. Termination does not affect any pending transactions or obligations incurred prior to closure.

Termination by Us

We may suspend or permanently terminate your access if you breach these Terms, engage in fraudulent activity, pose a legal or safety risk, or for any other reason at our reasonable discretion. We will endeavour to notify you of the reason where legally permissible.

Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may retain your data as required by law or for legitimate business purposes, subject to our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall do so.


Limitation of Liability

To the maximum extent permitted by applicable law, Owanbe Central Ltd shall not be liable for:

Indirect Damages

Any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Platform, including loss of profits, loss of data, or loss of business opportunities.

Third-Party Services

The actions, omissions, or quality of services provided by any Vendor, Planner, or third-party service provider accessed through the Platform. We are a technology intermediary, not a party to vendor-client contracts.

Cap on Liability

Where liability cannot be fully excluded, our aggregate liability to you for any claim shall not exceed the total fees paid by you to Owanbe Central in the twelve (12) months preceding the event giving rise to the claim.


Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Specifically, the courts of Lagos State shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to the dispute resolution process below. For users located outside Nigeria, nothing in these Terms limits your rights under the consumer protection laws of your home jurisdiction to the extent those rights cannot be waived by contract.


Dispute Resolution

We are committed to resolving disputes quickly and fairly.

Informal Resolution

Before commencing any formal proceedings, you agree to notify us of the dispute in writing to legal@owanbecentral.com and allow us 30 calendar days to attempt to resolve the matter informally.

Mediation

If informal resolution fails, either party may refer the dispute to mediation under the Lagos Court of Arbitration (LCA) Mediation Rules. Mediation shall take place in Lagos, Nigeria, and shall be conducted in English.

Arbitration

If mediation is unsuccessful, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act (Cap A18 LFN 2004) or any re-enactment thereof. The arbitral tribunal shall consist of a single arbitrator agreed upon by both parties, or appointed by the LCA if no agreement is reached.


Amendments

We may update these Terms from time to time to reflect changes to our services, legal requirements, or business practices. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform before the effective date.
